General Terms and Conditions (GTC)

Welcome to Zoulou, the epitome of innovation in real estate, tailored specifically for international buyers seeking properties in the picturesque region of Liguria, Italy. These General Terms and Conditions (GTC) govern the use of the Zoulou platform, a platform operated by ZOULOU iMarketing Ltd. a private company, registered under Hungarian law as follows – Company Registration: 12-09-013453, EUID: HUOCCSZ.12-09-013453, Tax-No. 32816426-2-12, EU-Tax-No. HU32816426, with its registered office at Róth Johanna utca 6, 3044 Szirak, Hungary.

These GTC apply to all users of the Zoulou Platform, including but not limited to buyers, sellers, and visitors.

By accessing or using the platform, you confirm that you have read, understood, and agree to be bound by these GTC. If any aspect of these GTC is not in alignment with your preferences, we kindly ask that you refrain from using our services. Your use of the platform is also subject to our Privacy Policy and Cookie Policy.

Who We Are

Zoulou stands as a dynamic real estate platform meticulously curated to establish connections among property owners, agencies, and potential buyers. Our platform serves as a channel, seamlessly bridging the gap between property owners and agencies showcasing their properties and potential buyers seeking their ideal investment.

Furthermore, catering to both sellers and buyers, our platform effortlessly enables users to engage in seamless communication in their native language. This feature provides them with the assurance that their messages will be received in the preferred language of the recipient.

Definitions

"Agreement" means these Terms and Conditions and the order confirmation.

"GTC" means the General Terms and Conditions.

" Free Trial Period" means the period which starts when you first register for an account and lasts for three months without payment for services.

"Pay-Per-View Plan" means the subscription plan for accessing Services on a per-view basis.

"Services" means the services provided by us to you as specified in your subscription plan.

"We", "Us", "Our" means Zoulou.

"Platform" means www.zoulou.eu

"You", "Your" means the person subscribing to the Services.

"Fixed-Price Plan" means the subscription plans for accessing Services on a fixed monthly fee basis, including PREMIUM and DELUXE plans.

"PREMIUM Plan" means a fixed-price subscription plan that includes exclusive features.

"DELUXE Plan" means a fixed-price subscription plan that includes exclusive features.

"Bonus2 points" means points earned through subscription plans that can be used towards prizes and exclusive benefits.

Eligibility

The services provided by Zoulou are designed for individuals aged 18 and above. If we become aware that data of individuals under 18 is being processed without proper consent from parents or a legal guardian, we reserve the right to unilaterally cease the provision of services and erase the collected data.

Services Offered

Zoulou presents a comprehensive platform showcasing a diversity of properties in Liguria, Italy. Potential buyers have the freedom to explore these listings at their leisure. For direct communication between potential buyers and property owners/agencies, potential buyers are required to register on our platform. Property owners and agencies, on the other hand, have the option to embrace our innovative Pay Per View system or one of the fixed priced plans.

Zoulou is not a party to any transaction between buyers and sellers and does not provide real estate brokerage services.

a) For Agents and Private Property Owners:

Pay-Per-View Subscriptions

Starting from 0€ per month, registration, photo and text uploads, and international presentation in over 20 languages and countries are included.

With the Pay-Per-View (PPV) model, you only pay for the direct views of your property advertisement. Each genuine view is charged at a single fee of 0.69€ + VAT per view.

The total monthly cost per property is capped at a maximum of 14.90€ + VAT per month.

If the number of genuine views in a given month does not reach the level required to trigger the monthly cap, only the actual PPV charges (0.69€ + VAT per view) will be invoiced.

The capped monthly fee applies only once the accumulated PPV charges for genuine views reach the maximum monthly fee.

Agent Incentives

Agents listing multiple properties benefit from discounts on the maximum monthly fee (14.90€ + VAT per property) as follows:

More than 10 properties: 8% discount on the capped monthly fee
More than 20 properties: 15% discount on the capped monthly fee
More than 50 properties: 30% discount on the capped monthly fee
More than 75 properties: 40% discount on the capped monthly fee

The discounts apply only to the capped monthly fee.

If the monthly number of genuine views does not reach the level required to trigger the cap, standard PPV charges of 0.69€ + VAT per view apply

Additional Benefit for Agencies:

For every 10 properties listed, 2 properties are displayed free of charge as “Featured Properties.”

Each additional property placed as a Featured Listing is charged 4.99€ per month.

Fixed-Price Plans:

PREMIUM

Seize the opportunity to elevate your property sale with our exclusive premium offer.

The package includes:

Complete registration with comprehensive property details, up to 20 photos, video, and floorplan
Precise map showcasing your property’s location
Presenting your property to potential buyers in over 20 countries
1 week in the FEATURED listings showcasing your property in our special section of recommendations on the search results page, increasing visibility and accelerating inquiries and sales.
Placing your listing in the prestigious PREMIUM listings will enhance its visibility and expedite the selling process.

DELUXE

Introducing our exquisite DELUXE plan, designed to enhance your property listing and expedite the sale process.

Benefit from:

Complete registration with comprehensive property details, up to 20 photos, video, and floorplan
Precise map showcasing your property’s location
Presenting your property to potential buyers in over 20 countries
2 weeks in the FEATURED listings showcasing your property in our special section of recommendations on the search results page, increasing visibility and accelerating inquiries and sales.
Property listing will be featured in the monthly international newsletter distributed to potential buyers across multiple countries.

DELUXE gives your listing a significant boost, expediting the sale of your property.

49€ / month + VAT

* Agencies are encouraged to contact us directly for special arrangements, particularly if they intend or have facilitated the sale of more than 10 properties on ZOULOU.

Subscription to Services: This Agreement pertains to the use of the Zoulou's services mentioned in your subscription. It does not cover any other services offered by Zoulou.

Start of Agreement: The Agreement begins upon subscription to a service plan.

Service Provision: We commit to providing services with reasonable skill, care, and diligence. However, we do not warrant that our services will always be available or meet your exact requirements.

Service Interruptions: Our services may be affected by various factors beyond our control, such as network congestion, maintenance works, or unforeseen circumstances.

Service Alterations: If you request changes to your service usage, including payment methods, we will make reasonable efforts to accommodate them promptly.

Account Registration: You must register an account in order to subscribe to a Pay-Per-View or fixed-price plan and you are responsible for maintaining the confidentiality of your login credentials and account details.

Your Obligations: You agree to comply with all applicable laws and regulations, including property advertising and data protection laws. You may not post false or misleading listings and must not use the Platform for unlawful purposes, including money laundering.

Payment Method Requirement: Upon account registration a payment method is required in order to use our services for a subscribed plan, unless users are on a free trial period.

Billing: All payments, whether made by credit card, Apple Pay or Google Pay via our payment processor Stripe, are securely processed and encrypted. Stripe ensures that all transactions are protected and handled in accordance with industry-leading security standards.

Zoulou provides clear and detailed payment information, available in the “subscription” section within users account, where they can review transactions, billing information and payment methods at any time.

b) For Potential Buyers:

Use of the Platform

Users can browse the website, view properties, and contact sellers directly without any charges.
Zoulou does not charge any fee or commission for the sale/purchase of properties listed on the portal.

Registration

Users must register on the Zoulou portal to communicate with sellers, registration ensures communication in the User's preferred language. Users are responsible for maintaining the confidentiality of their login credentials and account details.

User Rights and Obligations

Users have the right to contact sellers or intermediaries directly.
Users are not obligated to pay any fee to Zoulou for the purchase of a property.
Users must provide accurate information during registration and communication.

Premium Package

Zoulou plans to offer a Premium Package with benefits such as early notice of new properties, legal advice, and discounts on webinars for a fixed monthly fee. Details of the Premium Package will be introduced at a later time and will be included in these terms once available.

c) Advertising Partners

Responsible Website Use and User Obligations

Users of the Zoulou platform are required to engage with the platform responsibly, abstaining from any participation in unlawful activities. Users hold full responsibility for the accuracy and legality of the information they provide. Zoulou shall bear no liability for any consequences arising from the use of information procured from the platform.

Account Management: You are responsible for managing your account on www.zoulou.eu and ensuring your contact information, particularly your email address for billing, is updated.

Personal Information: You must provide accurate personal information during the registration process and promptly update any changes. Failure to do so may affect compliance with data protection regulations.

Service Usage: You may only use our services as outlined in these conditions. Commercial exploitation or resale of our services or content is strictly prohibited.

Prohibited Uses: You must not use our services for any of the following:

Illegal or improper purposes, including fraudulent activities, infringement of rights, or activities that disrupt networks or systems.
Post, share, disseminate, or publish:
Racist, xenophobic, obscene, defamatory content (e.g., ads alluding to the geographical origin or nationality of individuals potentially interested in a property or containing insults and/or offensive language of any kind);
Content that incites criminal, terrorist, violent, or defamatory behavior based on age, gender, religion, or any other type (e.g., ads alluding to preferences regarding sexual orientation, age, or religion of individuals potentially interested in a property);
Content that can be considered damaging to the fundamental rights of third parties in any form;
Information constituting illegal or unfair advertising (e.g., ads containing fictitious prices or including misleading or offensive comments about competitors);
Content that violates communication secrecy and/or applicable personal data protection laws (e.g., ads revealing the identity of property owners, residents, or other third parties who have not consented to the publication of their personal data);
False, inaccurate, or fraudulent content that could mislead recipients (e.g., “bait” ads or ads with misleading descriptions or false property characteristics).
Use the Site for illegal purposes or for resale, transfer, or assignment for use or benefit of any other person or entity.
Commit acts that imply a violation of our intellectual property rights and/or reputational damage to Zoulou or third parties.
Use the identity and/or access passwords of another Registered Client without their consent.
Access, monitor, or copy any information on the Site using any type of robot, spider, scraper, or other automatic or manual means without our prior written consent.
Undertake any action that imposes or may impose, in our judgment, an unreasonable or disproportionately large load on our infrastructure.
Create a link to any content on the Site for any purpose without our prior written consent.
Replicate, mirror, or incorporate any content from the Site into any other site without our prior written authorization.

Publication of Listings

Property owners and agencies bear the responsibility of ensuring the accuracy and legality of the information they post on Zoulou, and they must also ensure that all listing details are updated. Property owners and agencies are fully accountable for confirming the copyrights of all images, videos and floor plans used in their property listings.

Additionally, when you list a property, you acknowledge and guarantee that you are the owner of the property being listed (or duly authorized by the property owner to list it) and are solely responsible for the truthfulness of the published data; therefore, you will be solely liable for any responsibility or damage that may arise from the listing.

Zoulou reserves the right to modify or remove listings that violate our policies.

By uploading property descriptions, images, videos, floor plans or other media to the platform, property owners or agencies grant Zoulou a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and publicly display such content for marketing and promotional purposes, including but not limited to social media platforms, newsletters, advertising networks, and digital marketing campaigns. This license remains valid for as long as the listing is active on the platform and for a reasonable period thereafter for promotional and archival purposes, unless the property owner or agency withdraws consent.

Rules for Posting Listings:

Do not post duplicate images or images that contain watermarks, texts, or collages.
Do not post images that do not belong to the property you are listing.
Do not create more than one listing for a specific property.
All photos and videos are subject to approval before publication.
Zoulou reserves the right to delete any photos or videos that do not align with our terms and conditions.

Intellectual and Industrial Property

The content on the Platform, including text, images, logos, and design, is owned by Zoulou or its partners and is protected by copyright laws.

Users may not reproduce, distribute, or display any part of the Platform without express written consent from Zoulou.

Responsibility of Zoulou

Zoulou is committed to providing reliable and accurate information. However, we do not guarantee the accuracy, completeness, or appropriateness of the content showcased on our platform. Zoulou is not responsible for the actions or omissions of third parties, including sellers, buyers, and other users of the Platform. Zoulou shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or the inability to use our services.

Zoulou may also use analytics and marketing technologies provided by third-party partners to measure platform usage and advertising performance, as described in our Privacy Policy and Cookie Policy.

Zoulou is not responsible for any property disputes, inaccuracies in listings, or legal issues related to the properties advertised.

Zoulou reserves the right to suspend or remove user content or accounts that violate these GTC or applicable laws.

Limitation of Liability

Zoulou facilitates connections between Potential Buyers and Sellers and is not responsible for the outcome of any property transactions.
Zoulou does not guarantee the accuracy of property listings or the conduct of Sellers.
We will not be liable under this agreement for any loss or damage caused by circumstances where:
There is no breach of a legal duty of care owed to you by us;
Such loss or damage is not a reasonably foreseable result of any such breach; or
Any increase in loss or damage results from a breach by you of any term of this Agreement.
We will not be liable to you for the content of any advertisements or any other third-party content made available to you through the Services. You acknowledge that the Services have not been developed to meet your individual requirements, and it is your responsibility to ensure that the facilities and functions of the Services meet your requirements.
We will not be liable to you in any circumstances for any business losses that you may incur including but not limited to lost profits or business interruption.

Assignment and Third-Party Rights

We may transfer our rights and obligations under this Agreement to another entity but this will not affect your rights or obligations under this Agreement.
This Agreement is personal to you and you may only transfer your rights or obligations under this Agreement with our written consent.
No other person shall have any rights to enforce any of its terms.

Payment and Charges

Zoulou offers a range of carefully tailored plans for property owners and agencies.

The accepted payment method for Pay-Per-View, as well as fixed-price Premium and Deluxe plans, include credit cards, Apple Pay, and Google Pay via our payment processor, Stripe. Payment is required upon selection of a plan. Failure to fulfill payment obligations may result in the suspension of services. If property owners or agencies miss scheduled payments, access to certain features may be restricted until payment is completed. Zoulou reserves the right to take appropriate measures to recover any outstanding payments.

Pay-Per-View Services:

Each genuine view of your property advertisement is charged at €0.69 + VAT per view.

The total monthly cost per property is capped at a maximum of €14.90 + VAT per month.

Agent Discounts on the Capped Monthly Fee:

More than 10 properties: 8% discount on the capped monthly fee
More than 20 properties: 15% discount on the capped monthly fee
More than 50 properties: 30% discount on the capped monthly fee
More than 75 properties: 40% discount on the capped monthly fee

The discounts apply only to the capped monthly fee.

Premium Plan:

Fixed price of 39€ + VAT per property per month.
Payment is due monthly.

Deluxe Plan:

Fixed price of 49€ + VAT per property per month.
Payment is due monthly.
You must pay to us all the charges arising under this Agreement whether incurred by you or anyone else using your account with or without your knowledge at the times and in the manner set out in this Agreement.
A payment method will be required to use the Services. You will not be able to use the services if you have not provided payment information on your account with the exception of accounts on a free trial period.
If you don't enter any payment method to your account within 4 months of registration or after your free trial period is over, your account may be disabled.

Promotions and Offers

Periodically, Zoulou may introduce special incentives or promotional offers. These offers are subject to specific terms and conditions.

Zoulou reserves the right to award bonus points to selected clients, which can be redeemed for special gifts or exclusive rewards.

Things We May Have to Do

Temporarily suspend the Services (or any part of them) for operational reasons or in an emergency or for reasons of security.
From time to time we may have to migrate your account from one billing platform to another. In these circumstances, we will notify you if migration of your account will affect the Services to your detriment in any way.
We reserve the right to monitor your usage. If we reasonably determine that your use is in breach of any applicable fair usage policy, we may:
Request you to moderate your use; and/or
Suspend your Service.

Our Right to Suspend the Service

We can, at our discretion, suspend the service:

If you have done anything that would entitle us to terminate the Agreement (in which case, if we do this, we can still also terminate this Agreement if we wish);
If we have reasonable cause to suspect fraudulent use of a Payment Method
If you are persistently abusive or make threats or otherwise act illegally towards our staff or that of our agents.

Suspension and Termination of the Agreement

You may terminate this agreement by sending a notice of termination via email to security@zoulou.eu
Either of us may terminate this Agreement at any time on notice to the other, without any liability, if that other party:
Breaches this Agreement in a material way;
Has bankruptcy or insolvency proceedings brought against it.
We may terminate this Agreement at any time on notice, without liability, if:
We have reasonable cause to suspect a fraudulent payment has been made to purchase the Services;
We have reasonable cause to suspect that this Agreement has been entered into fraudulently or we are satisfied that fraudulent or improper use of the Services is taking place;
You do anything (or allow anything to be done) which we reasonably think may damage or affect the operation of the Network.
You may also end this Agreement, without penalty, immediately by notifying us if:
The Services are no longer available to you for a significant period of time (such a period not to be less than 7 days); or
We notify you of an upcoming change or variation of the terms of this Agreement and you notify us before those changes take effect.
If this Agreement is ended, your access to the Services will end and you will no longer be entitled to use any services associated with your account.
We may suspend or terminate the provision of the Services where this is strictly necessary:
For reasons outside of our control; or
If any agreement, giving us access to any part of or the ability to provide the Services is suspended or terminated.
If the Services are suspended, this Agreement will still continue.
If we elect to suspend the Services rather than to terminate them as a result of your breach of the terms of this Agreement, we reserve the right not to provide them again until you confirm that you will use the Services only in accordance with the terms of this Agreement.

Governing Law

These GTC are governed by the laws of Hungary. However, nothing in these GTC shall affect the mandatory consumer protection rights of users under their local laws.

Disputes shall be resolved in the courts of Hungary, but users may also have the right to file claims in their country of residence under applicable EU law.

Modification of the GTC

Zoulou reserves the right to modify these GTC at any time. Users will be notified of material changes by a notice on our website, and continued use of the Platform constitutes acceptance of such changes.

If any provision of these GTC is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
